A commercial invoice — one business billing another, as opposed to billing an individual client — usually has to clear an accounts-payable process before it gets paid. That process has its own expectations, and an invoice that doesn’t meet them tends to sit unpaid for reasons that have nothing to do with the work itself.
What belongs on it
- A purchase order (PO) number, prominently placed, if your client issued one. Many accounts-payable systems won’t process an invoice without a matching PO — this is the single most common reason a commercial invoice stalls
- Net payment terms stated explicitly — “Net 30” or “Net 15” on the invoice itself, not just assumed from a master agreement the AP clerk may not have in front of them
- A complete billing entity name and address, matching exactly what’s in your client’s vendor records — a mismatch (e.g. “Acme Inc.” vs. “Acme Incorporated”) can bounce an invoice back for correction
- Itemized line items with unit price and quantity, even for a single bulk service — AP systems frequently expect a quantity × unit-price breakdown rather than one lump sum
- Your business’s tax registration number, if applicable, since B2B invoices are more likely to be checked against it than consumer-facing ones
Common mistakes
No PO number when one was issued. This is the fastest way to get an invoice bounced back unprocessed — always ask for the PO number before invoicing a client with a formal procurement process.
Vague payment terms. “Due upon receipt” doesn’t map cleanly to most AP systems, which are usually built around Net 15/30/45/60 cycles — match your invoice terms to what was actually agreed in the contract or PO.
Inconsistent business name across invoices. If your legal name changes or you invoice under slightly different names between invoices, it can create duplicate vendor records on the client’s side and delay payment while they sort it out.
